At day 90 we review performance together. If you're not satisfied, you may end this agreement at that review and move on, keeping everything built to that point. It's written into Section 5 below.

Effective upon receipt of the initial payment · Governed by the laws of the State of Wyoming
This Agreement is entered into between The Lees Media LLC, a Wyoming limited liability company operating under the trade name Vessels (vssls.co) ("Vessels"), and Lucas Patten, founder of Powder Pal, and any entity he designates for the Powder Pal brand ("Client"). It governs all services rendered under the Growth Partnership described in this Agreement.
Store Conversion & Redesign: Vessels will audit the unit economics of every SKU, shipping rule, and discount on Client's Shopify store; implement margin guardrails; and execute a conversion-focused redesign of key store pages (home, product, cart, and checkout path), including surfacing Client's verified reviews and installing upsell and bundle systems.
The Powder Line: Vessels will launch a Powder Pal branded consumables line (initially protein, electrolytes, collagen, and creatine) through an on-demand fulfillment partner, including product setup, listings, bundle and subscription offers, and post-purchase upsell flows. Formulas, flavors, pricing, and labels are approved by Client before launch.
The Growth Engine: Vessels will build and manage an influencer program (creator sourcing, outreach, seeding, affiliate structures, and rights-cleared content collection), develop ad creative from winning content, and run email and SMS campaigns to Client's list. Client retains and continues its own organic content.
Ongoing: a monthly performance report (traffic, revenue, attribution, and next steps), a monthly strategy call, and a live margin dashboard. Work materially outside this scope is quoted and agreed in writing before it begins.
Client owns and operates the Powder Pal store and accounts. Third-party costs are Client's and are only ever incurred with Client's advance approval: app subscriptions, on-demand product and fulfillment costs, shipping, and any paid advertising budget. Vessels will present the math on any such cost before Client approves it.
Client agrees to a first month fee of $1,497, due upon execution of this Agreement, and a monthly partnership fee of $1,997 per month beginning thirty (30) days after execution and continuing through the end of the term, billed automatically via Stripe. Client further agrees to a performance fee of fifteen percent (15%) of attributable revenue: revenue tracked to this partnership through creator codes, tracked links, and the upsell and subscription systems Vessels builds, reconciled together against the store of record, net of refunds and discounts, invoiced monthly net-30. Client authorizes Vessels to charge the provided payment method for the fees above. If attributable revenue is zero in a month, no performance fee is owed for that month.
This Agreement commences upon receipt of the initial payment and runs for a term of six (6) months, then continues month-to-month unless either party ends it with thirty (30) days written notice.
90-Day Performance Review: on or about day ninety (90), the parties will review performance together against the plan. At that review, Client may elect to terminate this Agreement by written notice, effective at the end of the then-current paid month, with no early termination fee. Performance fees on revenue attributed through the effective date remain payable.
Either party may also terminate for material breach not cured within fifteen (15) days of written notice. Upon any termination, Vessels will hand over credentials, exports, and documentation for everything Client owns under Section 6 within fourteen (14) business days of payment of undisputed amounts.
Client owns:
Vessels retains:
Client-owned accounts (Shopify, domain, social, payment, and fulfillment accounts) remain in Client's name with Client holding owner access. Client will provide Vessels the delegated or staff access reasonably required to perform the services. Vessels will provide Client with current credentials for anything it configures on Client's behalf.
Attribution is set up in the first two weeks (unique creator codes, tracked links, and UTM structure) and reconciled monthly against the store of record before any performance invoice is raised. Vessels provides a monthly written report and the parties review direction together at least monthly during the term.
Client grants Vessels a non-exclusive license to access and process Client's data solely as necessary to provide the services. Vessels maintains commercially reasonable safeguards and will notify Client without undue delay of any confirmed breach affecting Client data. Client agrees to Vessels' Terms of Service and Privacy Policy (vssls.co/terms · vssls.co/privacy); where they conflict with this Agreement on fees or commercial terms, this Agreement controls.
Each party will keep confidential the other's non-public business, financial, technical, and customer information and use it solely to perform this Agreement. This obligation survives termination for two (2) years.
Powder Line products are produced and fulfilled by third-party manufacturers in FDA-registered, GMP-compliant facilities; those manufacturers are responsible for formulation and product compliance. Vessels is not a manufacturer, lab, or law firm and does not provide legal, medical, or regulatory advice. Marketing claims for consumable products will follow the manufacturer's approved language, and Client approves all product listings before launch.
Except for fraud, willful misconduct, or breach of confidentiality, neither party is liable for indirect, incidental, special, or consequential damages, including lost profits. Vessels' total liability shall not exceed the fees paid by Client in the three (3) months preceding the claim. Vessels makes no guarantee of specific traffic, conversion, or revenue outcomes, though it will use commercially reasonable efforts to achieve them; the 90-day review in Section 5 exists precisely so Client can judge results directly.
Each party will indemnify and hold the other harmless from third-party claims arising from its own negligence, willful misconduct, breach of this Agreement, or violation of applicable law.
Neither party is liable for delays caused by events beyond its reasonable control, including natural disasters, acts of government, or widespread infrastructure failures.
Any material change to scope, pricing, timeline, or deliverables must be documented in writing and agreed by both parties before that work begins.
The founding-partner pricing in Section 4 is offered in part in consideration of Client's participation in Vessels' marketing. Client grants Vessels a non-exclusive, royalty-free license to identify Powder Pal and Lucas Patten as a Vessels client and to display Client's name, logo, and screenshots of the work Vessels produced under this Agreement in Vessels' portfolio, case studies, proposals, and social channels. Vessels will present the work accurately and will not disclose Client's confidential financial information without prior written consent. After results are in and only if Client is satisfied, Client agrees to provide a short testimonial upon request. Client may withdraw any specific asset from active marketing by written request with thirty (30) days to remove.
This Agreement is governed by the laws of the State of Wyoming. The parties shall first attempt good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. The prevailing party is entitled to recover reasonable attorney's fees and costs where permitted.
This document constitutes the entire agreement between the parties and supersedes all prior discussions, proposals, and representations. All financial obligations are stated within this Agreement. Amendments must be in writing and agreed by both parties. If any provision is found unenforceable, the remainder continues in full effect.
